DariaOS End User Licence Agreement

1. Agreement

This DariaOS End User Licence Agreement (“EULA”) is a legal agreement between you and Multi Ways International L.L.C. (“MWI”, “we”, “us”, or “our”), a company registered and incorporated in the Emirate of Dubai, United Arab Emirates.

This EULA governs your use of DariaOS, device firmware, software updates, and preloaded DARIA applications and system services supplied by MWI for a smartphone in the DARIA bond series (collectively, the “MWI Software”). By activating or using the MWI Software, you agree to this EULA and the DARIA bond Mobile Terms and Dispute Resolution Agreement.

If you do not agree, do not activate or use the MWI Software. Contact the Product seller promptly to ask about any return rights available under the seller’s policy or applicable law.

2. Licence grant

Subject to this EULA, MWI grants you a limited, personal, revocable, non-exclusive, non-sublicensable licence to use the MWI Software in object-code form on one lawfully acquired DARIA bond smartphone (the “Device”) for personal or internal business purposes.

The MWI Software is licensed, not sold. You receive no ownership interest in the MWI Software or associated intellectual property.

3. Transfer with the Device

You may transfer this licence to a new lawful owner only together with permanent transfer of the Device. Before transfer, you must remove your accounts, back up and erase personal data, disable device-locking and location features, and stop using any retained copy of the MWI Software for that Device.

The new owner receives the licence subject to this EULA when they activate or use the Device. The prior owner’s licence for that Device ends upon transfer.

4. Licence restrictions

Except where applicable law or an applicable open-source licence expressly permits it, you must not:

  • Copy, distribute, rent, lease, lend, sell, sublicense, or commercially exploit the MWI Software separately from the Device;
  • Reverse engineer, decompile, disassemble, decode, or attempt to derive source code, algorithms, security keys, or non-public interfaces;
  • Modify, adapt, translate, or create derivative works of the MWI Software;
  • Circumvent or disable security, authentication, digital-rights, safety, update, or usage controls;
  • Remove or alter copyright, trademark, attribution, or proprietary notices; or
  • Use the MWI Software to violate law, infringe rights, distribute malicious code, or interfere with devices, networks, or services.

5. Ownership and trademarks

MWI and its licensors retain all rights, title, and interest in the proprietary MWI Software, documentation, services, designs, and associated intellectual property. DARIA is a registered trademark of MWI. No right to use a trademark, logo, trade name, or brand element is granted except as necessary to use the Device normally.

If you voluntarily provide feedback, you permit MWI to use it without restriction or payment, provided that MWI does not publicly identify you without permission.

6. Android, Google, open-source, and third-party software

The Device may include Android, Google Mobile Services, Google applications, open-source software, and other third-party components. Those components are licensed by their respective owners under separate terms, notices, and open-source licences.

Where an applicable third-party or open-source licence grants rights that conflict with this EULA, that licence controls for the relevant component. Nothing in this EULA limits rights granted under an applicable open-source licence.

Google and other third-party services may require separate accounts, permissions, payments, and acceptance of their own terms and privacy policies.

7. Preloaded DARIA apps and services

The MWI Software may include Daria Pass, Daria Wallet, Daria Update, Daria Support, Daria Notifications, and other DARIA apps or system services. Some services are optional and may require a DARIA account, internet access, permissions, or additional terms.

DARIA Wallet points, rewards, offers, identity verification, purchases, eligibility, expiry, suspension, and transaction rules may be governed by additional terms presented in the relevant app or service. This EULA does not promise any monetary value, reward, offer, or continuing service availability.

8. Accounts and security

You are responsible for maintaining the confidentiality of account credentials and for activity performed through your accounts. Notify DARIA Support promptly if you suspect unauthorized access, loss, theft, or compromise.

Do not attempt to defeat Device security or use the MWI Software in a way that threatens users, systems, services, or networks.

9. Updates

MWI may provide automatic updates for security, safety, firmware, compatibility, critical services, and legal compliance. These updates may be downloaded and installed automatically where necessary to protect the Device, users, networks, or services.

Where reasonably practicable, MWI will provide notice or a choice before material non-essential changes. Updates may add, modify, remove, or replace features and may require network access, storage space, or a restart.

Update availability and timing may vary by Device model, region, carrier, technical capability, and third-party support. Model-specific update commitments, if any, are stated in applicable Product materials and are not expanded by this EULA.

10. Privacy

The Daria Smartphone, DariaOS & Preloaded Daria Apps Privacy Policy describes personal data processed through the Device, MWI Software, and DARIA services.

Google, mobile operators, and third-party applications and services process information under their own privacy notices.

11. Connectivity, availability, and third-party services

Some functionality depends on internet access, mobile networks, accounts, location, third-party systems, or regional availability. MWI does not control independent networks or third-party services and cannot guarantee their availability, performance, security, or continued operation.

Carrier, data, roaming, internet, and third-party charges are your responsibility.

12. Backup, support, and warranty

Maintain appropriate backups of important data. Updates, troubleshooting, repair, factory reset, transfer, or replacement may erase data. Follow DARIA Support instructions before submitting a Device for service.

This EULA does not alter the DARIA bond Smartphone Limited Warranty Policy or any mandatory statutory right. The hardware warranty does not create a separate guarantee that every software feature or third-party service will remain unchanged or continuously available.

13. Suspension and termination

This EULA remains in effect while you use the MWI Software. Your licence ends when you permanently transfer or cease owning the Device.

MWI may restrict access to affected online DARIA services or terminate this licence for a material breach that remains uncured after reasonable notice, where notice and cure are practicable. MWI may act immediately where reasonably necessary to address fraud, unlawful activity, a serious security threat, or risk of harm.

Termination does not authorize MWI to avoid mandatory consumer obligations. Provisions concerning ownership, third-party licences, liability, dispute resolution, and accrued rights survive termination where their nature requires.

14. Disclaimers and limitation of liability

The MWI Software is provided subject to express commitments and mandatory law. To the maximum extent permitted by law, MWI does not provide additional implied guarantees that the MWI Software, networks, or third-party services will always be uninterrupted, error-free, or suitable for every individual purpose.

To the maximum extent permitted by applicable law, MWI is not liable for indirect or consequential loss that was not reasonably foreseeable and does not result from MWI’s breach of a mandatory legal obligation. Nothing in this EULA excludes or limits liability or remedies that cannot lawfully be excluded or limited.

15. Governing law and dispute resolution

This EULA is governed by the laws of the United Arab Emirates, without prejudice to mandatory consumer protections or jurisdiction rules.

The Dispute Resolution Agreement and arbitration opt-out in Section 16 of the DARIA bond Mobile Terms are incorporated into this EULA. A valid opt-out submitted under the Mobile Terms also applies to this EULA; a separate opt-out is not required.

16. Changes and contact

MWI may update this EULA for legal, security, technical, operational, or service reasons. Material changes will be communicated through the Device, DARIA services, the website, or another appropriate channel. Changes will not retroactively reduce accrued statutory rights.
